This document (“Supplement”) describes the terms and conditions of the Refer a Business Program (“Program”) and supplements the Business Credit Card Agreement (the “Agreement”) that governs your credit card account issued by WebBank (the “Account”). Capitalized terms used in this Supplement shall have the meanings given to them in this Supplement, and, where applicable, the Agreement. In this Supplement, "you" refers to the eligible Account holder or Guarantor, and "we," "us," and "our" refer to New Wave Card LP, dba Capital on Tap.
By agreeing to this Supplement, you agree to participate in the Program. Your participation is subject to the terms of the Agreement, including the governing law provision and the arbitration provision (if applicable), and this Supplement. In the event of a conflict between the Agreement and this Supplement, with respect to matters relating to the Program, this Supplement controls.
NOTICE: The Program is offered at our sole discretion. We reserve the right to alter or waive any Program feature or benefit, or to cancel or temporarily suspend the Program at any time without prior notice. We reserve the right to approve, deny or revoke your participation in the Program for any reason.
The Program allows you to earn a reward when you successfully refer an eligible business (see Section 3) for a Capital on Tap Business Credit Card. If all conditions are met (see Section 4), both you and the eligible business you refer (the “Referred Party”) will receive a referral bonus in the form of Points (as that term is defined within your Rewards Program Supplement) (the "Referral Bonus"). The amount of the Referral Bonus for both you and the Referred Party is the current offer shown in your Online Portal at the time you send your referral link.
You are eligible to participate if you are a Cardholder. Notwithstanding anything to the contrary, Supplementary Cardholders are not eligible. You cannot make referrals if your Account has been suspended, terminated or closed; or if in our sole discretion, we think that you have attempted to, or engaged in, any fraud or material abuse related to the Program.
To receive a Referral Bonus, your Account must also be in good standing and not be terminated or closed on the date the Referral Bonus is scheduled to post.
By making referrals, you are not acting as a professional loan broker.
You may refer up to 100 businesses each calendar year. A referred business is eligible as a Referred Party as long as it:
has not previously had a Capital on Tap Business Credit Card Account;
has its principal place of business in the United States,
(the “Referred Party").
The Referred Party’s application status and the occurrence of the first transaction will be shared with you for the purpose of this Program. No other information regarding the Referred Party will be shared.
A Referral Bonus is granted only after all of the following conditions have been met:
Your Referred Party applies for an Account using your unique referral link.
Your Referred Party is approved for an Account (all applications are subject to credit approval of the issuing bank).
Your Referred Party makes its first transaction using the Card.
You’ll receive your Referral Bonus within 30 days of your Referred Party making their first qualifying transaction.
If the Referred Party applied using a valid referral link and has met all the requirements outlined in Section 4, the Referral Bonus will be credited to the Referred Party’s Account within 30 days of the first qualifying transaction.
We may limit, cancel, or revoke a Referral Bonus in our sole discretion if we determine that you or a Referred Party have violated these terms or engaged in fraud or material abuse of the Program. The Referral Bonus will also be forfeited if your Account is restricted or closed as permitted under the Agreement or any other applicable agreements or terms and conditions related to the Agreement or Program.
You also agree not to engage in any activities that may, in our sole opinion, improperly generate referrals, including but not limited to creating websites or bidding on any of our branded terms, trade marks or variations thereof (including misspellings) in search engines, paid advertising platforms, or other digital marketing channels, for the purpose of promoting the Program or generating referrals. Any such activities will result in disqualification from the Program, forfeiture of any Referral Bonus paid or due to paid, and termination or suspension from participation in the Program and of your Account.
Governing Agreements: This Program supplements all terms of your Agreement and Rewards Program Supplement. This Supplement does not change or override those agreements.
Program Changes: This Program is offered at our sole discretion. We reserve the right to modify, suspend, or terminate the Program or these terms at any time, in our sole discretion, without prior notice unless otherwise required by applicable law. If the Program is modified, suspended, or terminated, we reserve the right to decide whether to honor Referral Bonuses for Referrals made prior to the termination date. We will provide notice as required by applicable law. By participating in the Program after we make any changes to these terms, you agree to be bound by those changes. We will indicate that changes have been made by updating the “Last Updated” date. If you do not accept the changes, your only remedy is to stop participating in the Program. If a new referral offer is made available (i.e. we offer a different referral bonus), you must send a new referral link for that offer to apply; old links will be subject to the terms that were active when they were sent.
Dispute Resolution: Your Agreement contains a "Arbitration and Class Action Waiver" provision, including binding arbitration. That provision applies fully to any disputes arising from this Program.
No Cash Value: The Referral Bonus has no cash value until redeemed and is not transferable. It cannot be sold or assigned to a third party.
Tax Liability: The value of the Referral Bonus may be considered taxable income. You are solely responsible for any taxes resulting from a Referral Bonus. Please consult your tax advisor with any questions.
